Merchant of Record & Billing Notice

Our order process and billing is conducted by an authorized online Merchant of Record. The Merchant of Record processes all our SaaS subscription orders, provides customer billing service, generates digital tax invoices, handles returns, and ensures full global sales tax, VAT, and GST compliance for purchases made through The Sell Sphere.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("You" or "User"), and The Sell Sphere ("Company", "We", "Us", or "Our"), concerning your access to and use of thesellsphere.com and the platform accessible at admin.thesellsphere.com (collectively, the "Services").

By accessing the Services, creating an account, or purchasing a subscription, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms of Service. If you do not agree with all of these terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. The Sell Sphere Visual Merchandising Platform & Services

The Sell Sphere provides a standardized Software-as-a-Service (SaaS) visual commerce platform that enables retail businesses, brands, and digital merchants to create, customize, and embed interactive 3D WebGL product previews, Augmented Reality (AR) models, real-time variant and texture customizers, spatial visualizations, and conversational customer inquiry assistants.

Access to our platform is delivered digitally and instantly upon account registration and subscription verification.

2.1 B2B Software Licensing & Non-Facilitation Policy

The Sell Sphere is strictly a business-to-business (B2B) software vendor. The Sell Sphere is not a multi-vendor marketplace, third-party seller payment facilitator, escrow service, or financial intermediary.

Merchants using our software operate independent commercial entities and handle their own retail transactions, order fulfillment, and customer service. Merchants connect their own independent, external merchant accounts (such as their own direct Stripe, PayPal, or offline Cash on Delivery) to collect payments from their retail consumers.

All fees and charges processed through The Sell Sphere's payment gateway (authorized Merchant of Record) represent direct B2B sales of software subscriptions ($20.00 / month or $190.00 / year) sold directly by The Sell Sphere to business users.

3. User Accounts & Security

To utilize the platform, you must register for an administrative account at admin.thesellsphere.com. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your password and account credentials.
  • Notify us immediately at support@thesellsphere.com of any unauthorized use or security breach.
  • Take full responsibility for all activities that occur under your account.

4. Subscription Plans, Billing & Payments

4.1 Pricing Structure

The Sell Sphere offers subscription-based software services with transparent pricing in United States Dollars ($ USD):

  • 3-Day Free Trial: Full access to 3D visual studio and AR preview tools with zero upfront credit card charge.
  • Monthly Subscription ($20.00 / month): Unlocks complete web studio, interactive 3D WebGL product visualizer (360°), real-time variant & material customizer, AR spatial placement, and standardized cross-platform mobile viewers (Android & iOS). Billed monthly, cancel anytime.
  • Yearly Subscription ($190.00 / year): Complete web and mobile software suite billed annually at a 20% discount (2 months free). All features and priority cloud processing included.

4.2 Authorized Merchant of Record & Payment Processing

All payments, recurring billing transactions, invoicing, and global tax collections are handled securely by an authorized Merchant of Record. By placing an order, you authorize the recurring charge of your designated payment method (Credit Card, Debit Card, PayPal, Apple Pay, Google Pay) on a monthly or annual basis (depending on your selected plan) until cancelled. All cardholder data is securely encrypted under PCI-DSS Level 1 compliance standards.

4.3 Automatic Renewal & Cancellation

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled prior to the renewal date. You may cancel your subscription at any time directly through your account dashboard (Settings → Billing), via the customer portal link on your receipt, or by emailing our support desk at support@thesellsphere.com. Cancellation prevents future billing cycles while maintaining full service access through the end of the current paid term.

4.4 Standardized Software Fulfillment & Instant Digital Access

All subscriptions sold by The Sell Sphere are 100% standardized digital Software-as-a-Service (SaaS) products fulfilled automatically and instantly upon payment confirmation. No physical products or human-delivered custom agency services are sold. Upon successful subscription checkout, platform features, web components, and viewer access are provisioned immediately through automated software workflows.

5. Refund & Cancellation Policy

6. Intellectual Property Rights

Unless otherwise indicated, the platform, source code, databases, software designs, audio, video, text, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein are owned or licensed by The Sell Sphere.

You retain full ownership of all product catalog data, customer records, trademarks, and multimedia assets uploaded to your store. You grant The Sell Sphere a non-exclusive license to host, process, and display such data solely to deliver the SaaS services.

7. Prohibited Activities

You agree not to use the Services for any unlawful or prohibited purpose, including but not limited to:

  • Selling illegal, counterfeit, fraudulent, or restricted goods in violation of card brand rules (Stripe, PayPal, Visa, Mastercard).
  • Infringing on intellectual property or trademark rights of third parties.
  • Interfering with, disabling, or damaging the security or integrity of the platform infrastructure.
  • Uploading malicious code, viruses, or attempting unauthorized access to other merchants' stores.

8. Limitation of Liability

In no event will The Sell Sphere, our directors, employees, or agents be liable to you or any third party for any direct, indirect, exemplary, incidental, special, or punitive damages arising from your use of the SaaS platform.
